Welcome to Coappblify. These Terms of Use govern your access to and use of our website, mobile application, and integrated social commerce services. By registering an account, listing products, or making a purchase, you agree to be bound by this Agreement.
1. NATURE OF THE PLATFORM
Coappblify is a social commerce marketplace that connects independent merchants ("Vendors") with consumers ("Buyers"). We provide the digital infrastructure, transaction escrow services, and coordinated logistics tracking to facilitate these sales. Except where explicitly stated otherwise, the contract of sale is strictly between the Vendor and the Buyer.
2. ACCOUNT REGISTRATION AND ELIGIBILITY
- Age Requirement: Users must be at least 18 years old or possess legal business registration in Nigeria to create an account.
- Accuracy of Information: You agree to provide true, accurate, and current information during registration.
- Account Security: You are entirely responsible for maintaining the confidentiality of your credentials. You must notify us immediately of any unauthorized use of your account.
3. VENDOR CONDITIONS AND LISTINGS
- Product Legitimacy: Vendors must only list authentic products that comply with Nigerian laws, including guidelines set by NAFDAC, SON, and the Federal Competition and Consumer Protection Commission (FCCPC)
- Pricing: All prices must be clearly stated in Nigerian Naira (NGN) and inclusive of applicable statutory taxes unless stated otherwise.
- Prohibited Items: Counterfeit goods, weapons, health supplements without regulatory approval, and illegally imported items are strictly banned.
4. THE ESCROW AND BUYER PROTECTION SYSTEM
To ensure secure transactions across social channels, the Platform operates a mandatory Escrow Service:
- Secured Payments: When a Buyer purchases an item, their payment is securely held by the Platform's payment partner ("Escrow Account") and is not released immediately to the Vendor.
- The Confirmation Window: The Vendor receives payment only after the Buyer confirms receipt of the item, or after the 24-hour Inspection Period lapses without a filed dispute.
- Auto-Release: If a Buyer receives an item but fails to confirm or log a dispute within 24 hours of verified delivery, the funds will be automatically released to on request by the Vendor.
- Circumvention Banned: Any attempt by a Vendor or Buyer to bypass the Platform’s escrow system (e.g., requesting direct bank transfers outside the app) will result in immediate account termination.
5. COORDINATED LOGISTICS AND DELIVERY
Because logistics are handled via a hybrid model, the following rules apply:
- Platform-Managed Logistics: If the Platform's integrated shipping partner is selected, delivery timelines are tracked dynamically. The Vendor must hand over the package within 24-48 hours of order confirmation.
- Vendor-Self Logistics: If the Vendor handles independent delivery, they must upload valid proof of delivery (e.g., a signed waybill or rider confirmation) to the Platform immediately upon delivery to initiate the confirmation window.
- Risk of Loss: Risk of damage or loss remains with the Vendor until the item is successfully delivered to the Buyer's designated address.
6. RETURNS, REFUNDS, AND DISPUTE RESOLUTION
- Valid Grounds for Refund: Buyers can trigger a dispute under the Buyer Protection program if the item is:
- Not delivered within the promised timeframe.
- Materially different from the listing description or pictures.
- Damaged, defective, or counterfeit.
- Dispute Mediation: If a dispute is raised during the Inspection Period, the escrow funds will remain locked. The Platform will review proof (photos, chat logs, waybills) submitted by both parties and issue a final binding decision within 3 business days.
- Return Shipping: If a return is approved due to Vendor error, the Vendor shall bear the return shipping cost. If a return is due to Buyer change-of-mind (where permitted by the Vendor's shop policy), the Buyer bears the cost.
7. FEES AND PAYOUTS
- Commission Fees: The Platform charges a commission fee of 2% to 10% on every successful transaction. This fee is automatically deducted from the escrow amount before final payout to the Vendor.
- Payout Schedule: Cleared escrow funds will be disbursed to the Vendor's linked Nigerian bank account same day on request by the vendor after confirmation.
8. LIMITATION OF LIABILITY
To the maximum extent permitted under Nigerian law, Coappblify shall not be liable for any direct, indirect, or consequential losses arising from transactional disputes, logistics delays caused by third-party riders, or platform downtime. Our total liability shall not exceed the specific transaction amount under dispute.
9. GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any unresolved disputes arising directly between a user and the Platform shall first be subjected to amicable settlement, failing which they shall be referred to mediation at the Lagos Multi-Door Courthouse (LMDC) or the Nigerian Arbitration and Mediation Act framework.
